Board of TrusteesThe Nevada Library Association's executive board became a "board of trustees" to conform with former NRS 82.650 (repealed 1991) under which the association was incorporated in 1963. Under the 1993 Articles of Incorporation, the board of trustees continues as the governing body of NLA between annual meetings. MEMBERSHIP The Articles of Incorporation are the legal basis and structure for the board of trustees. They state: 6. Powers of the Board of Trustees. The corporate powers of the Nevada Library Association shall be vested in the Board of Trustees. The board of trustees is made up of the President, President-elect, Past President, Executive secretary, Treasurer, the chairperson of each District (Northeast, Northwest and Southern) and the Chair of each section (NCRL, NSCLS and PLAN/NALT). Advisory, nonvoting members shall be the State Librarian, the library representative of the Department of Education (selected by the Nevada Superintendent of Public Instruction), and the NLA delegates, if any, to national and regional organizations. Members of the board of trustees may hold more than one NLA office at a time provided they occupy only one seat on the board. PURPOSE AND DUTIES 1. The board of trustees gives its approval to policies emanating from its constituent groups or committees, including proposed legislation and action with regard to legislation when it agrees with the Association's purpose and goals. 2. The Board is responsible for approval of such things as Conference registration fees, the slate of president appointed officers, Association supported legislation, the Association's budget, etc. 3. The board of trustees approves any change of location of the NLA archives. 4. The board of trustees considers recommended changes in the dues structure and presents such changes to the membership for ratification. 5. The board of trustees advises the president and the association membership in determining current and long range plans and policies. 6. The board of trustees has charge of all real and personal property belonging to the Association and transacts all business relating to such property. Meetings 1. The midwinter board of trustees' meeting is held in January. If possible, the meeting should be held in the community where that year's annual meeting will take place and is set so as not to conflict with ALA. Budget 1. Each member of the board submits a budget request appropriate to carry out the functions of the office. 2. The cost of travel for members of the board residing more than 30 miles from the site of the midwinter board meeting will be borne by NLA. This also applies to advisory, nonvoting members, the recording secretary, and other officers specifically requested to attend the meeting. No costs are reimbursed for attendance at any board meetings held at NLA annual meeting. Under normal circumstances lunch is catered at the midwinter meeting, instead of the cost being reimbursed to board members.
